Introduction

Welcome to RazzyTech. These Terms of Service ("Terms") govern your access to and use of the RazzyTech platform at razzytech.com (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Note for Customers: When you create a dealer account, you will also agree to our Customer Agreement, which contains additional terms specific to paid subscriptions, data ownership, and service-level commitments.

1. Service Description

RazzyTech provides an AI-powered automotive marketing automation platform that enables car dealerships to:

• Connect and sync vehicle inventory from dealership websites
• Generate AI-powered advertising copy for Google Ads and Meta platforms
• Create and export product feeds for automotive advertising campaigns
• Build and host branded landing pages for lead capture
• Manage and track leads from marketing campaigns

RazzyTech provides marketing automation tools. Dealers maintain full ownership and control of their advertising accounts, budgets, and campaigns on third-party platforms.

2. Account Registration and Eligibility

2.1 Eligibility

You must:

• Be at least 18 years of age
• Have the authority to bind your business or organization to these Terms
• Operate a legitimate automotive dealership or marketing business
• Provide accurate and complete registration information

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Acceptable Use

3.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for automotive dealerships and marketing professionals to create and manage advertising campaigns.

3.2 Prohibited Activities

You may not:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to the Service or related systems
• Scrape, harvest, or collect user data without authorization
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without written permission
• Interfere with or disrupt the Service or servers

4. AI-Generated Content

RazzyTech uses artificial intelligence to generate advertising copy and marketing content. By using the Service:

• You acknowledge that AI-generated content may require review and editing
• You are solely responsible for reviewing all content before publishing
• You are responsible for ensuring content complies with advertising platform policies
• You are responsible for accuracy of pricing, vehicle details, and claims
• RazzyTech does not guarantee that AI-generated content will be accepted by advertising platforms

5. Intellectual Property

5.1 RazzyTech Property

The Service, including all software, features, functionality, and content (excluding user-provided content), is owned by RazzyTech and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain all ownership rights to content you upload to the Service, including vehicle inventory, images, and branding assets. By uploading content, you grant RazzyTech a limited license to:

• Store and process your content to provide the Service
• Generate AI-powered marketing materials based on your content
• Display your content within the Service interface

This license terminates when you delete your content or close your account.

6. Service Availability and Modifications

6.1 Service Availability

While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

6.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes when possible.

7. Third-Party Services and Integrations

The Service may integrate with or provide exports for third-party advertising platforms including Google Ads and Meta Business Manager. Your use of these platforms is governed by their respective terms of service.

RazzyTech is not responsible for:

• Third-party platform policies, changes, or service interruptions
• Rejection or removal of your ads by third-party platforms
• Advertising costs or budget management on third-party platforms
• Performance or results of campaigns run on third-party platforms

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RAZZYTECH DOES NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• AI-generated content will be accurate or suitable for your purposes
• Any errors or defects in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAZZYTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL RAZZYTECH'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO RAZZYTECH IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11.2 Termination by RazzyTech

We may suspend or terminate your access to the Service if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Pose a security or legal risk to RazzyTech or other users

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of British Columbia, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of British Columbia, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms with a new "Last Updated" date
• Sending email notification to account administrators
• Displaying a notice when you log in to the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
